Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Novyx Software LLC ("Novyx," "we," "us," or "our") concerning your use of the JBTrack service (the "Service").

By accessing or using JBTrack, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

JBTrack is a task management and time tracking platform designed for field service businesses. The Service includes mobile applications, web applications, and integrations with third-party services such as QuickBooks.

3. Account Registration

To use JBTrack, you must:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Be at least 18 years old or the age of legal majority in your jurisdiction
• Not share your account with others

You are responsible for all activities that occur under your account.

4. Subscription and Payments

4.1 Free Trial

We offer a 14-day free trial. You may cancel at any time during the trial period without charge. After the trial, your subscription will automatically convert to a paid plan unless canceled.

4.2 Paid Subscriptions

• Subscriptions are billed monthly or annually in advance
• Prices are per user per month and subject to change with 30 days' notice
• Payment is due at the beginning of each billing cycle
• All fees are non-refundable except as required by law
• You authorize Novyx Software LLC to charge your payment method automatically

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of your paid period.

5. Acceptable Use

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or viruses
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service
• Use the Service for any illegal or unauthorized purpose
• Resell or redistribute the Service without authorization
• Reverse engineer or attempt to extract source code

6. Your Data

6.1 Ownership

You retain all rights to the data you submit to JBTrack ("Your Data"). You grant Novyx Software LLC a license to use Your Data solely to provide and improve the Service.

6.2 Responsibility

You are responsible for the accuracy, quality, and legality of Your Data and the means by which you acquired it. You represent that you have all necessary rights to use and share Your Data with the Service.

6.3 Backup and Security

While we implement security measures and backup procedures, you are responsible for maintaining your own backup copies of Your Data. We are not responsible for data loss.

7. Third-Party Integrations

JBTrack integrates with third-party services like QuickBooks. Your use of third-party services is governed by their respective terms and policies. Novyx Software LLC is not responsible for third-party services.

8. Intellectual Property

The Service, including all software, text, images, and trademarks, is owned by Novyx Software LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

9. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NOVYX SOFTWARE LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVYX SOFTWARE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. Indemnification

You agree to indemnify and hold harmless Novyx Software LLC from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason. Upon termination, your right to use the Service ceases immediately.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of the United States and the state in which Novyx Software LLC is registered, without regard to conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Novyx Software LLC concerning the Service.
